Terms of Service

These Terms of Service ("Terms") govern your access to and use of Shipistry's website and platform (the "Service"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

Description of Service

Shipistry provides an AI-powered supply intelligence platform that helps restaurants track inventory, log waste, manage purchase orders and shipments, and receive forecasts and recommendations.

Eligibility and Accounts

You must be at least 18 years old and able to enter into a binding agreement to use the Service. You are responsible for the information you provide, for maintaining the confidentiality of your account credentials, and for all activity that occurs under your account.

Subscriptions, Billing, and Trials

• New accounts include a free 30-day trial with no credit card required.
• After the trial, the Service costs $50 per location per month. Charges are based on the number of locations on your account.
• When your trial ends, a short grace period applies before access is restricted. You will receive reminders before any restriction.
• Subscriptions renew automatically each billing period until cancelled. You may cancel at any time, and cancellation takes effect at the end of the current billing period.
• Payments are processed by Stripe. Fees are non-refundable except where required by law.

Acceptable Use

You agree not to misuse the Service, including by attempting to access it without authorization, interfering with its operation, reverse engineering it, or using it to violate any law or the rights of others.

Customer Data and Ownership

You retain ownership of the data you submit to the Service. You grant Shipistry a limited license to process that data solely to provide and improve the Service. You are responsible for the accuracy of the data you enter.

Intellectual Property

The Service, including its software, design, and content (excluding your data), is owned by Shipistry and protected by intellectual property laws. These Terms do not grant you any right to our trademarks or branding.

AI and Operational Recommendations

Shipistry's forecasts, alerts, and recommendations are generated from the data you provide and are intended to support, not replace, your own judgment. They are provided for informational purposes and are not guarantees of outcomes. You are responsible for your purchasing and operational decisions.

Service Availability

We work to keep the Service available and reliable but do not guarantee uninterrupted access. We may modify, suspend, or discontinue features from time to time.

Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement, to the fullest extent permitted by law.

Limitation of Liability

To the fullest extent permitted by law, Shipistry will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill arising from your use of the Service.

Termination

You may stop using the Service at any time. We may suspend or terminate your access if you violate these Terms or if necessary to protect the Service or other users. Provisions that by their nature should survive termination will survive.

Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will update the effective date above. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

Governing Law

These Terms are governed by the laws of the United States and the State of South Carolina, without regard to conflict-of-law principles. Any disputes arising from these Terms or the Service will be resolved in the courts located in South Carolina.
